Welcome to Lurna! These Terms of Service ("Terms") govern your access to and use of the website, software, mobile interfaces, and AI learning platform operated by Lurna, Inc. ("Lurna," "we," "our," or "us").

1. Acceptance & Eligibility

A. Acceptance of Terms

By accessing or using Lurna, you affirm that you are legally capable of entering into a binding contract and agree to comply with all terms herein. If you are accessing Lurna on behalf of a school, university, or organization, you represent that you have authority to bind that entity.

B. Age Requirements

Minimum Age: Lurna is intended for users aged 13 and above.
Under 13 Users: Users under the age of 13 may access Lurna only through an authorized parent, legal guardian, or educational institution that has obtained necessary parental consents in compliance with COPPA and applicable laws.

2. User Accounts & Security

To access certain features of Lurna, you must register for an account using our authentication provider (Clerk).

Accurate Information: You agree to provide accurate and complete registration information.
Account Credentials: You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account.
Unauthorized Access: You must notify us immediately at support@lurna.co if you suspect any security breach or unauthorized use of your account.

3. Intellectual Property Rights

A. Lurna Intellectual Property

The Services, including code, user interface designs, logos, software algorithms, AI tools, graphics, and proprietary features, are owned by Lurna, Inc. or its licensors and are protected under intellectual property and copyright laws.

B. User Content & Ownership

Your Content: You retain ownership of all original documents, notes, PDFs, study materials, and inputs you upload to Lurna ("User Content").
License to Lurna: You grant Lurna a worldwide, non-exclusive, royalty-free license to host, store, process, display, and render your User Content solely to provide, operate, and improve the Services for you.

4. Prohibited Activities

You agree not to engage in any of the following prohibited behaviors:

Unlawful Use: Violating applicable local, state, national, or international laws.
System Disruption: Uploading viruses, malware, or attempting to compromise platform security or infrastructure.
Automated Scraping: Utilizing bots, spiders, or scrapers to extract data, content, or user information without prior written permission.
Account Sharing & Resale: Selling, renting, sharing, or transferring account access to third parties.
Academic Misconduct: Using Lurna tools to engage in plagiarism, cheating, or violations of academic integrity policies established by your educational institution.
AI Exploitation: Utilizing platform content or AI outputs to train, benchmark, or build competitive machine learning models without express consent.

5. AI Functionality & Disclaimers

Lurna incorporates AI-driven tools to assist in study guide creation, quiz generation, and note processing.

Educational Support Tool: AI outputs are intended solely for supplementary study assistance.
No Accuracy Guarantee: AI models may occasionally generate inaccurate, incomplete, or outdated information ("hallucinations"). You are responsible for reviewing and verifying all outputs against authoritative course materials.
Academic Responsibility: Lurna assumes no liability for academic evaluation, test results, or institution policy violations resulting from reliance on AI tools.

6. Payments, Subscriptions & Refund Policy

A. Subscriptions & Renewal

Certain features require a paid subscription. Subscriptions automatically renew at the end of each billing period unless canceled at least 24 hours prior to renewal.
You can manage or cancel your subscription at any time through your account settings.

B. Refund Policy

All payments are non-refundable, except where required by applicable law or explicitly stated in an institutional agreement.

C. Payment Processing

Payments are securely processed through Stripe, Inc. By submitting payment information, you agree to Stripe's Terms of Service and Privacy Policy.

7. Institutional Subscriptions

Educational institutions (schools, universities, districts) may purchase group licenses or enterprise subscriptions.

Users under an institutional subscription remain subject to these Terms and Lurna's Privacy Policy.
Additional terms specified in a signed institutional master contract or DPA will supersede conflicting provisions herein.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED SERVICE AVAILABILITY.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LURNA, INC. AND ITS DIRECTORS, EMPLOYEES, OR AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, ACADEMIC OUTCOMES, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES.

10. Dispute Resolution & Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Minnesota, United States, without regard to conflict of law principles. Any legal action or dispute arising under these Terms shall be resolved through binding arbitration in Minneapolis, Minnesota, under the rules of the American Arbitration Association (AAA).

11. Termination

We reserve the right to suspend or terminate your access to Lurna immediately, without prior notice, if you violate these Terms or engage in conduct harmful to the platform or other users.

12. Changes to Terms

We may update these Terms from time to time. When updates occur, we will revise the "Last Updated" date at the top. Continued use of Lurna after changes become effective constitutes acceptance of the new Terms.
